Legal Agreement and Binding Nature

These Terms and Conditions constitute a legally binding agreement between you (the "Client" or "User") and ViewCraft (the "Company" or "Service Provider"). By accessing our website, requesting services, or engaging in any business relationship with ViewCraft, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. In such case, "you" and "your" will refer to that entity.

Important: These Terms and Conditions supplement but do not replace any separate written agreements for specific projects or services. If there is a conflict between these general terms and a specific service agreement, the specific agreement will prevail.

User Obligations and Legal Responsibilities

1. Compliance with Laws and Regulations

You agree to comply with all applicable laws, regulations, and industry standards when using our services. This includes but is not limited to:

  • Japanese data protection and privacy laws, including the Act on the Protection of Personal Information (APPI)
  • International regulations such as GDPR when applicable to your business
  • Copyright, trademark, and intellectual property laws
  • Electronic commerce and digital transaction regulations
  • Export control laws and international sanctions

2. Prohibited Activities and Conduct

When using our services or website, you explicitly agree NOT to:

  • Use our services for any unlawful purpose or to facilitate illegal activities
  • Infringe upon the intellectual property rights of ViewCraft or any third party
  • Transmit any harmful code, viruses, malware, or other destructive components
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Harass, abuse, or harm any individual or entity through our services
  • Engage in any form of automated data collection without explicit written permission
  • Misrepresent your identity or affiliation when requesting services
  • Use our services to develop competing products or services
  • Reverse engineer, decompile, or disassemble any proprietary technology
  • Remove or modify any copyright, trademark, or proprietary notices

3. Content Guidelines and Restrictions

If you provide content, materials, or information to ViewCraft, you warrant that such content:

  • Does not violate any third-party rights, including intellectual property rights
  • Does not contain illegal, defamatory, or obscene material
  • Does not promote discrimination, hatred, or violence
  • Is accurate, complete, and not misleading
  • Complies with all applicable laws and regulations

4. Age Requirements

You must be at least 18 years old or the age of majority in your jurisdiction to use our services. By using our services, you represent and warrant that you meet these age requirements and have the legal capacity to enter into this binding agreement.

5. Professional Conduct Standards

We expect all users to maintain professional standards in their interactions with ViewCraft staff, contractors, and other users. Abusive, threatening, or unprofessional behavior may result in immediate termination of services without refund.

Client Responsibilities and Obligations

1. Indemnification Obligations

You agree to indemnify, defend, and hold harmless ViewCraft, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms and Conditions
  • Your infringement of any third-party rights
  • Any content or materials you provide to us
  • Your breach of any applicable laws or regulations

2. Privacy and Data Protection Responsibilities

When engaging our services, you are responsible for:

  • Ensuring you have the right to share any personal data provided to us
  • Obtaining necessary consents for data processing activities
  • Complying with data protection laws applicable to your organization
  • Implementing appropriate security measures for your own systems
  • Notifying us of any data protection concerns or requirements

3. Third-Party Interactions

If your use of our services involves interaction with third parties, third-party services, or third-party content, you acknowledge that such interactions are solely between you and the third party. ViewCraft is not responsible for any third-party actions, content, or services.

4. Project Cooperation Requirements

For contracted development projects, you agree to:

  • Provide timely feedback and approvals during development phases
  • Supply necessary resources, assets, and information as requested
  • Designate authorized representatives for decision-making
  • Participate in scheduled meetings and reviews
  • Test and validate deliverables within agreed timeframes

Liability Limitations and Warranties

1. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, VIEWCRAFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding results obtained from using our services

We make reasonable efforts to provide quality services, but we do not warrant that our services will meet all your requirements or that any errors will be corrected immediately.

2. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIEWCRAFT SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of goodwill
  • Any damages resulting from unauthorized access to your data or systems
  • Any damages arising from your use or inability to use our services

In no event shall ViewCraft's total aggregate liability exceed the amount paid by you to ViewCraft for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

3. Consequential Damages Exclusion

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law. These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

4. Force Majeure Provisions

ViewCraft shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of nature
  • War, terrorism, civil unrest, or government actions
  • Power failures, internet outages, or telecommunications failures
  • Labor disputes, strikes, or lockouts
  • Supplier failures or third-party service disruptions

In such events, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to minimize its impact on service delivery.

Legal Information and Dispute Resolution

1. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions or your use of our services shall be brought exclusively in the courts of Nagasaki, Japan, or the Tokyo District Court, and you consent to the personal jurisdiction of such courts.

2. Dispute Resolution Procedures

Before initiating formal legal proceedings, we encourage parties to attempt to resolve disputes through good faith negotiation. If you have a dispute with ViewCraft:

  • Contact us in writing with a detailed description of the dispute
  • Allow 30 days for us to investigate and respond to your concerns
  • Participate in good faith negotiations to reach a mutually acceptable resolution
  • Consider mediation through a neutral third party before pursuing litigation

3. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms and Conditions. The remaining provisions shall continue in full force and effect.

4. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Material changes will be communicated through:

  • A notice on our website homepage
  • Email notification to registered clients (where applicable)
  • Updated "Last updated" date at the top of this page

Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

5. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and ViewCraft regarding your use of our services and supersede all prior agreements, understandings, and representations.

6. Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
